Terms of Service

Last updated

These terms are an agreement between you and Mates ("we", "us"), for your use of Mates at usemates.com and app.usemates.com ("Mates"). By creating an account or using Mates you agree to them. If you use Mates for a company, you agree on its behalf and confirm you are allowed to. Our Privacy Policy explains how we handle your data.

What Mates is

Mates lets you create AI mates: assistants with a job, instructions, a memory and a computer of their own in our cloud. Your mates can browse the web, run programs, read and write files, send and receive email, work in apps you connect, run on a schedule and publish apps, all on your instructions.

Mates is a new product. Features change often, some are marked beta, and we may change or remove a feature when we need to. We tell you in advance when a change takes away something you rely on.

Your account

  • You must be at least 18 and able to enter a contract.
  • Give us accurate details and keep your sign-in safe. You are responsible for everything done with your account, including by your mates.
  • Tell us straight away at hello@usemates.com if you think someone else has used your account.

You are in charge of your mates

Your mates act for you. What they do with your accounts, your email address and your connected apps is done on your behalf, so:

  • You are responsible for their actions as if you had taken them yourself, including emails they send, messages they post, purchases, published apps and anything they do on other websites.
  • Review what matters. Mates gives you approvals, rules, replays and activity logs. Use them, especially before anything is sent, posted, bought or deleted. If you set something to run without asking, you accept what it does.
  • AI makes mistakes. Mates' output can be wrong, incomplete or out of date. Check it before you rely on it, and don't use Mates as a substitute for professional legal, medical, financial or safety advice.
  • Other services have their own rules. When a mate uses a website or a connected app, you must follow that service's terms. Some sites don't allow automated use; it is up to you to check.

What you may not do

Don't use Mates, or let your mates be used, to:

  • break the law or anyone's rights, including privacy, intellectual property and consumer protection laws;
  • send spam, bulk unsolicited messages or calls, or anything that breaks anti-spam or telemarketing laws;
  • scrape or collect personal information unlawfully, or build profiles of people without a lawful basis;
  • deceive people, impersonate someone, or pretend a mate is a human when someone asks;
  • harass, threaten or harm anyone, or create or share sexual content involving minors, content that promotes violence or terrorism, or anything similarly harmful;
  • get into accounts, systems or data you are not allowed to, test security without permission, or spread malware;
  • attack, overload or misuse Mates or other networks from your mates' computers, including mining cryptocurrency, running proxies for others, or hosting illegal content;
  • get around our limits, security or usage caps, or resell Mates without our written permission;
  • copy, reverse engineer or build a competing product from Mates, except where the law allows it.

We may block an action, pause a mate or limit your account when we see one of these, and we will tell you why unless the law or someone's safety prevents it.

Your content

You own what you put into Mates and what your mates produce for you ("your content"). You give us permission to store, process and send your content only as needed to run Mates for you, to keep it secure, and to follow the law. This permission ends when you delete the content, apart from copies in backups until they rotate.

We do not use your content to train AI models. You confirm you have the rights to the content you give your mates.

Published apps, email and templates

  • Published apps are public at their web address. You are responsible for them, and we may take one down if it breaks these terms.
  • Mate email addresses are for genuine, wanted email. We may hold or stop email that looks like spam, and pause sending if messages bounce or are reported.
  • Templates you share are shared under these terms: anyone you share with may install and change them. Never include secrets or anyone's personal information in a template. Review templates from others before you install them, the same way you would review software.

Fees

Mates may be free for now within a monthly allowance. When paid plans start, the price, the allowance and what happens when you go over are shown before you subscribe. Plans renew automatically until you cancel, and you can cancel at any time; your plan stays active until the end of the period you paid for. Unless the law says otherwise, payments are not refundable. We give you at least 30 days' notice before a price change applies to you. Prices do not include taxes, which we add where required.

Third-party services

Mates relies on other services (AI model providers, connected apps, websites your mates visit). We are not responsible for them, for their availability or for changes they make that affect Mates. Your use of a connected app is between you and that app's provider.

Ending

You can stop using Mates and delete your account at any time. We may suspend or close your account if you break these terms, if your use puts others or Mates at risk, if we must by law, or if we stop offering Mates. Except in urgent cases, we give you notice and a chance to download your data first. Sections that by their nature should survive (such as responsibility for your mates, liability and the law that applies) keep applying after your account ends.

Our responsibility to you

We work hard to keep Mates running and your data safe, but we provide Mates "as is" and "as available". To the extent the law allows, we do not promise that Mates will be uninterrupted, error-free, or that its output will be accurate or fit for a particular purpose.

Nothing in these terms excludes rights you have under the Australian Consumer Law or other laws that cannot be excluded. Where the law lets us limit our liability for a failure to meet a consumer guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.

To the extent the law allows:

  • we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill;
  • we are not liable for loss caused by your mates acting on your instructions or settings, by third-party services, or by your breach of these terms;
  • our total liability for all claims relating to Mates is limited to the greater of the fees you paid us in the 12 months before the claim and AUD 100.

You agree to cover our reasonable losses and costs from claims by others that arise from your content, your mates' actions on your behalf, or your breach of these terms.

Changes to these terms

We may update these terms as Mates changes. We update the date at the top, and for significant changes we tell you by email or in the app at least 14 days before they take effect. If you keep using Mates after that, the new terms apply; if you don't agree, you can stop using Mates and delete your account.

General

These terms are governed by the laws of Australia, and the courts of Australia have jurisdiction, unless the law of the country where you live as a consumer gives you the right to bring a claim there. If part of these terms can't be enforced, the rest still applies. If we don't enforce something straight away, we can still enforce it later. You may not transfer these terms without our permission; we may transfer them to a company that takes over Mates, and we will tell you if we do. These terms and our Privacy Policy are the whole agreement between us about Mates.
